Core Commitments in 30 Seconds
- • 100% IP ownership: You own all custom source code, databases, and assets upon final sprint payment.
- • Guaranteed fixed fee: Our $5,000 sprint fee is fixed for the agreed scope. We do not bill surprise hourly overages.

- • Strict confidentiality: Your product concepts, designs, and business models are protected under mutual NDA standards.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a binding agreement between you ("Client," "User," or "you") and Tessellate Labs ("we," "us," or "our"), operated by Tudor Barbu. By browsing `tessellatelabs.com`, using our free software tools, purchasing digital products, or engaging our studio for software engineering sprints, you agree to be bound by these Terms.
2. Software Engineering Sprints
A. Scope and Deliverables
Each MVP sprint focuses on building and launching one primary transaction loop or core workflow within a 2-to-4-week delivery timeframe. Before work begins, we establish a written scope specification detailing user authentication, database architecture, third-party integrations, and milestone acceptance criteria.
B. Fixed-Price Guarantee
Our standard MVP sprint fee is a guaranteed flat rate of $5,000 USD. Work within the agreed scope document carries no additional billable hours or surprise agency retainers. Scope additions requested during the sprint are evaluated separately and scheduled as an extension only upon mutual written agreement.
C. Client Collaboration and Timelines
Rapid delivery requires responsive collaboration. The client agrees to provide necessary brand assets, third-party account credentials (such as Stripe, domain DNS, and AI API keys), and feedback on milestone reviews within two business days to keep the agreed sprint schedule on track.
3. Intellectual Property and Code Ownership
We believe founders must hold unconditional ownership of their technology:
- Full Client Ownership: Upon receipt of full payment for the sprint, all custom software, bespoke source code, database schemas, API configurations, and graphic assets developed specifically for your project become your sole intellectual property.
- Zero Vendor Lock-in: We transfer administrative ownership of your Git repository, cloud database (Supabase), and hosting environment directly to your team upon delivery.
- Open-Source Components: Custom code builds on established open-source libraries and frameworks (such as Nuxt 3, Vue, Tailwind CSS, and PostgreSQL drivers). These underlying libraries remain subject to their respective open-source licenses (MIT, Apache 2.0, or BSD).
- Pre-Existing Studio Tooling: General-purpose development boilerplates, utility scripts, and public knowledge assets created by Tessellate Labs outside of client-specific business logic remain the property of Tessellate Labs and are licensed to the client perpetually, royalty-free, and worldwide.
4. Payment and Invoicing Terms
- Sprint Payments: Custom engineering sprints follow a standard structured payment schedule: a 50% initial deposit prior to kickoff and the remaining 50% upon completed deployment and milestone verification.
- Processing: Invoices are issued and paid via Stripe. Wire transfers and direct bank transfers are supported upon request.
- Cancellation Policy: Either party may terminate a sprint with written notice. In the event of early termination, the client pays for work completed through the cancellation date, and all completed source code and assets are delivered upon settlement.
5. Confidentiality and Non-Disclosure
We treat all client business concepts, product specifications, customer records, and private code repositories as strictly confidential. Tessellate Labs will not disclose or share proprietary client assets with third parties without prior written authorization. We are pleased to execute mutual Non-Disclosure Agreements (NDAs) prior to sprint kickoff upon request.
6. Warranty and Post-Delivery Support
Every custom software sprint includes a 14-day post-delivery bug-fix warranty starting from final deployment. During this window, Tessellate Labs resolves any software defects or behavioral discrepancies against the agreed scope specification at no additional charge.
7. Free Tools and Digital Products
Our free calculators, PRD generators, and benchmarks are provided on an "as-is" basis for planning and estimation purposes. While we maintain rigorous benchmarks, generated outputs do not constitute a formal commercial quote until confirmed in a written sprint agreement.
Digital publications (such as our books and guides) grant a personal, non-exclusive license to the purchaser. Redistribution or unauthorized resale of digital book files is prohibited.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Tessellate Labs and its operators shall not be liable for indirect, punitive, special, or consequential damages, including loss of profits, data corruption, or third-party cloud service outages (such as downtime from hosting providers, Stripe, or LLM APIs). Our total aggregate liability under any claim arising from these Terms or our services shall not exceed the total fees paid by the client to Tessellate Labs during the twelve months preceding the event.
